Terms

An overview of the commercial terms that apply to LAWET Security & Development AB's deliveries and services. Full terms are provided in connection with quotation and contract.

Contract structure

The terms apply to all agreements (”the Agreement”) between LAWET and the customer, unless otherwise agreed in writing. Security systems, products and components covered by the Agreement are referred to as ”the Security System” and services are referred to as ”the Service”.

In addition to LAWET's General Terms, LAWET's Special Terms (B–C) and the electrical installation industry's delivery terms EL 10 apply. In the event of any conflict, the following order of precedence applies:

  1. The Agreement
  2. Special Terms for LAWET (B, C)
  3. General Terms and Conditions for LAWET (A)
  4. EL 10

Key terms in brief

Below is a summary of some key terms. The summary is simplified and does not replace the full provisions.

Ownership

A sold Security System remains LAWET's property until all material and installation have been paid for in full. Drawings, system solutions, codes and other documents remain LAWET's property and may not be copied or distributed without written permission.

Liability and limitation of liability

LAWET is liable for damage caused to the Customer through negligence in the assignment. The liability does not cover pure financial loss, indirect damage or consequential damage (e.g. burglary, loss of production or lost profit). LAWET's total liability for damages is limited to SEK 1,000,000 per 12-month period, but never more than 20% of what the Agreement covers during the same period. Claims must be submitted in writing within three (3) months.

Contract term

For recurring fees (e.g. a monthly fee), a contract period of thirty-six (36) months normally applies. The agreement is extended by twelve (12) months at a time unless terminated in writing no later than three (3) months before the end of the period.

Payment

Unless otherwise agreed, recurring fees are paid quarterly in advance and the payment term is 30 days from the invoice date. In the event of late payment, default interest is charged at the Riksbank reference rate plus 8%, together with statutory reminder and debt-collection fees.

Price adjustments

During the contract period, LAWET has the right to adjust the agreed fees if wage, material, transport, tax or currency costs change. Adjustments are communicated to the Customer in writing.

Confidentiality

The parties undertake not to disclose each other's trade secrets during the contract period and for five (5) years thereafter, other than to fulfil the Agreement.

Force majeure

A party is released from its obligations in the event of circumstances beyond the party's control (e.g. war, sabotage, government action, labour dispute, extreme weather conditions or fires) for as long as the impediment persists. A party invoking force majeure shall notify the other party without delay.

Disputes

Disputes are settled through arbitration in accordance with the Swedish Arbitration Act, with the exception of LAWET's right to pursue payment claims in general court. Arbitration takes place in Stockholm unless otherwise agreed.

Personal data

LAWET processes the personal data of the customer and its representatives (name, address, contact details, order and contract information, etc.) in order to fulfil its undertakings and obligations under law. How we process personal data, and your rights, are described in our privacy and data protection policy (GDPR).
